Highwave's buy of Northlight Optronics approved

April 15, 2005 Lannion, France -- Today in its Extraordinary General Meeting (EGM), Highwave Optical Technologies, a European supplier of active fiber-based components and subsystems for the telecommunications, industrial, and defense markets, announced the approval of its acquisition of Northlight Optronics.

April 15, 2005 Lannion, France -- Today in its Extraordinary General Meeting (EGM), Highwave Optical Technologies, a European supplier of active fiber-based components and subsystems for the telecommunications, industrial, and defense markets, announced the approval of its acquisition of Northlight Optronics.

Highwave's second EGM was held today at its headquarters in Lannion. According to a press release, the extraordinary resolutions submitted during this meeting were similar to those submitted during the previous EGM held on March 21, during which necessary quorum was not reached.

According to the release, the participation rate of today's EGM was 30.9%, compared to a necessary quorum of 25%. The company's present shareholders approved the acquisition of 100% of Northlight Optronics, as well as the issuance of new shares to remunerate this acquisition.

"Our goal, today, is to propose a strong European alternative in the optoelectronics components and subsystems sector," remarks Sylvain Boj, Highwave's COO.
