Archcom Technology and VSK Photonics complete merger

February 17, 2004 Azusa, CA -- Archcom Technology Inc., provider of transmit side optical components, announced the completion of its merger transaction with VSK Photonics Inc., provider of receive side optical components. The combined company will offer a complete line of transmit and receive side optical components for the Datacom, Telecom, and Military/Aerospace markets.

February 17, 2004 Azusa, CA -- Archcom Technology Inc., provider of transmit side optical components, announced the completion of its merger transaction with VSK Photonics Inc., provider of receive side optical components. The combined company will offer a complete line of transmit and receive side optical components for the Datacom, Telecom, and Military/Aerospace markets.

The merged company will retain the Archcom Technology name and Archcom CEO Dr. Dick Chen will be the CEO of the merged company. "The complementary products and technologies of Archcom and VSK are an ideal combination," he asserts. "We look forward to being a complete active component supplier to our customers and to continue bringing innovative new products to the market."

Dr. Timothy Vang, CEO of VSK, will lead the receiver product line as Executive Vice President of Archcom. "VSK is very excited to join forces with Archcom. We expect the merged company to provide one-stop shopping for transponder and transceiver suppliers and to become a recognized leader of active optical components," he adds.

As part of the transaction, Archcom closed its Series B financing with additional capital from existing VSK investors Morgenthaler Ventures and Rustic Canyon Partners. Michael Kim, a partner at Rustic Canyon, will join the Archcom Board of Directors.

Archcom will be at the 2004 Optical Fiber Communication Conference & Exposition (OFC) in Los Angeles, CA, February 24-26, 2004, at booth 3822.
