ARRIS announces completion of sale of actives business to Scientific-Atlanta and further force reductions

November 22, 2002--ARRIS announced that it had completed the previously announced sale of the actives portion of its Transmission, Optical and Outside Plant business to Scientific- Atlanta.

ARRIS announced that it had completed the previously announced sale of the actives portion of its Transmission, Optical and Outside Plant business to Scientific- Atlanta. On November 13, 2002, the ARRIS announced that it had reached a definitive agreement with Scientific-Atlanta for the sale of this business and expected the transaction to close during the month of November. This announcement confirms that the transaction is now complete.

ARRIS, in addition, has taken action in the form of a reduction in force affecting over 300 employees. These actions are driven in part by the actives sale and the need for further cost reductions and include the closure of the company's Andover, MA, facility and other force reductions throughout the organization.

"As we indicated in our third quarter earnings conference call, we were analyzing various ways to improve our cost structure in order to match expense levels to lower revenue levels while at the same time continuing to improve our balance sheet," said Larry Margolis, executive vice president and chief financial officer at ARRIS. "The closure today of the sale of our actives business to Scientific-Atlanta, and the other closure and force reductions that are currently underway are the necessary steps to achieve that goal."
